The Senior Corporate Counsel will provide legal counsel to management, commercial business and support functions on intellectual property and trade secrets, trademarks, general business and regulatory matters, and a broad range of contractual relations. In cooperation with Global Legal and Commercial, this position has primary responsibility for executing and expanding North America’s asset protection program, including anti-counterfeiting activities, trademark enforcement and protection of trade secrets. This role also serves as a resource for internal commercial business clients, technical operations, R&D, Medical Device Innovation Center, and the Legal Department on general IP-related matters including software and other license arrangements.
Duties and Responsibilities:
In collaboration with Global colleagues, including the Global trademark attorneys/function, Global Patent Affairs, and Sales & Marketing, is responsible for developing and leading all North America asset protection efforts to protect the company’s trade secrets, the company’s products, and the commercialization of the company’s products in North America (NA) from trademark and intellectual property (IP) infringement, counterfeiting, diversion, and theft.
Handle and coordinate, as appropriate, dispute resolution and litigation required for NA asset protection; coordinate with outside counsel and the NA legal litigation attorney/function as appropriate.
Provide intellectual property advice on a broad range of topics in support of ongoing business operations to commercial business units, regulatory and technical operations groups, the Medical Device Innovation Center, and to colleagues in the Legal Department. IP advice does not include patents; legal counsel on patent matters is handled by Global Patent Affairs.
Work collaboratively with Global Legal trademarks attorney/function to provide legal advice on trademarks to NA business clients, regulatory, Medical Device Innovation Center, and technical operations.
Provide general business advice to commercial clients and support services on day-to-day, ongoing business matters.
Draft, review, and negotiate a wide range of general commercial and general business contracts, including computer software and license agreements; counsel Commercial Business Units on potential legal implications of business arrangements.
Provide training to business colleagues, including Sales & Marketing on key IP issues and corporate intelligence.
Dependent upon experience (or following training), provide regulatory and promotional legal counsel on medical devices and/or pharmaceuticals products.
Other duties as assigned by Head of North America Legal.
A Law degree is required.
A minimum of 7 years overall legal experience in a law firm and/or corporate legal department setting.
Experience in a corporate legal department is strongly preferred.
Prior experience with a regulated industry (e.g. medical devices and/or pharmaceuticals) preferred.
