BioTelemetry, Inc. a leading healthcare service company is seeking an energetic, business-minded and self-motivated attorney with 6+ years of experience in corporate/securities, M&A, health care, and litigation matters. The successful candidate will have excellent communication and interpersonal skills.
This position supports a business of over $300 million in revenue and over 1,000 employees.
This position reports directly to the General Counsel & Corporate Secretary and is based in the company’s corporate headquarters in Malvern, PA.
Assist the General Counsel with corporate governance and related matters.
Draft securities filings.
Draft board/committee minutes and maintain corporate record books for 12 subsidiaries.
Draft, review and negotiate vendor and confidentiality agreements.
Assist General Counsel as a corporate generalist in all M&A and transactional matters.
Perform regulatory work and review with focus on fraud and abuse, coverage, reimbursement, HIPAA privacy and security
Perform transactional work and review structures and arrangements that could create risk under state and federal health care laws
Provide general health care advice on compliance and regulatory issues, including advice on the False Claims Act, Beneficiary Inducement, Anti-Kickback, and civil monetary penalty laws
Assist with Intellectual Property litigation and manage IP portfolio.
Handle employment litigation matters.
Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little or no direction/supervision.
Required Education, Skills and Experience:
D. from a top law school with exceptional academic credentials and at least 6+ years of relevant experience gained at a large law firm and/or in-house at a publicly-traded company.
Must be admitted, active and in good standing with the Pennsylvania State bar.
Candidate must be highly analytical and have exceptional business and legal issue identification and problem-solving skills.
Requires a practical, business-oriented approach to problem-solving; candidate must be able to effectively counsel internal clients by providing them with clear, concise and commercial advice, and creative solutions where necessary, on established timelines to meet their business needs.
Candidate must be able to operate autonomously while being a team player who brings a positive, “can do” attitude to the workplace and works collaboratively with other members of the Legal team and with internal clients.
