Purpose of Position

In the Office of General Counsel, or OGC, we help our clients solve problems that affect their diverse educational, research and business missions. Formally, we are a full-service legal department composed of 35 attorneys in five practice groups, known as sections: Business Law, Claims & Financial Litigation, General Law, Health Law and Real Estate. In partnership with some 75 campus-based attorneys, we serve all 14 institutions within the UT System, plus UT System’s central administrative office, known as UT System Administration.
The selected candidate will report to the Vice Chancellor & General Counsel and manage OGC’s Business Law section, a group of 11 attorneys and 4 administrative staff with diverse specialties that are critical to the mission of the UT System. Among other substantive areas, the Business Law section provides legal advice and representation on contracts and procurement, construction, corporate and securities issues, environmental matters, intellectual property (including patent, copyright and technology commercialization), research compliance, tax/gift development law, telecommunications and utilities.

The candidate will also have the demonstrated ability to accentuate the talents and expertise of individual contributors, and to motivate others to collaborate constantly with our diverse clients, including UT System’s executives; academic, business and health leaders; and chief legal officers.
Manages attorneys and support staff, assigns projects, oversees and promotes high-caliber legal work, and maintains high client satisfaction.
Together with the Vice Chancellor & General Counsel, the Associate Vice Chancellor & Deputy General Counsel, four other section managers and the Assistant to the Executive Officer, serves on OGC’s management team.
Reviews proposed business and financial transactions to assure compliance with federal and Texas law and applicable UT System Regents’ Rules and UT System policies.
Assists clients in structuring transactions within legal constraints, while achieving business needs.
Conducts legal research and prepares written and oral legal opinions regarding compliance with federal and Texas laws and applicable UT System Regents’ Rules and UT System policies.
Constantly communicates with clients and OGC leadership, attorneys and staff.
Prepares, interprets and reviews sophisticated contractual and commercial documents and policies.
Reviews proposed legislation and administrative regulations and communicates potential impacts to the Office of Governmental Relations.
While based in UT System Administration’s Austin headquarters, travels within and outside Texas as necessary.

Graduation from a law school accredited by the American Bar Association; admission to Texas Bar or, for out-of-state applicants licensed in another jurisdiction, Admission Without Examination to Texas Bar within six months of hire; 10 years of experience in the licensed practice of law; 3 years of experience managing attorneys or other professionals; knowledge of and experience with relevant state and federal contracting and procurement requirements.

The retirement plan for this position is Teacher Retirement System of Texas (TRS), subject to the position being at least 20 hours per week and at least 135 days in length. This position has the option to elect the Optional Retirement Program (ORP) instead of TRS, subject to the position being 40 hours per week and at least 135 days in length.
