Located at Stratas’s headquarters in Memphis, Tennessee, this is a unique opportunity to an experienced, commercial lawyer with keen negotiating skills and strong business acumen to actively manage Stratas’ legal function, including corporate and commercial matters, litigation, corporate governance, compliance and employment matters.
Handle and manage a diverse variety of legal matters arising out of Stratas’ operations. This shall include, but not be limited to, general corporate and commercial, merger and acquisition, joint venture, litigation, corporate governance, employment and compliance and risk management matters.
Review, draft and negotiate a wide variety of agreements, such as purchase, sales, nondisclosure, distributor, and service and supply agreements.
Advise senior management on commercial transactions, including acquisitions, divestitures and joint ventures, and draft, review and negotiate the attendant agreements. Provide counseling and guidance on appropriate risk allocation for strategic and core business transactions.
Proactively and cost effectively manage litigation and other legal disputes, which shall include cost-effectively managing outside counsel. Negotiate fixed fee and alternate fee arrangements with outside law firms, use technology to aid in reporting, and streamline more routine processes and procedures such as e-billing, budget management, case management, and litigation reporting.
Conduct legal analysis and provide counsel on laws, rules, regulations, and policies related to Stratas’ interactions in the U.S. and globally, including but not limited to the import and export issues (including customs matters) U.S. anti-kickback law, the FCPA and other local anti-corruption laws. Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, compliance and other legal areas.
Develop, implement, improve and continuously review legal and compliance processes, procedures and training. Monitor the company’s compliance with federal and state regulatory requirements and recommend to the Board and senior management changes or additions to compliance activities. Provide compliance training on relevant matters. Report to senior management (or to the Board, as appropriate) any actual or probable violations of law.
Manage the corporate governance function. Attend Board Meetings, prepare Board Minutes and maintain Minute Books.
Serve as primary liaison for legal and related matters to both parent companies.
Hire, manage and direct the activities of a paralegal.
Perform special projects as assigned from time to time by senior management.
A J. D. from an accredited law school, with proven academic success.
At least eight years broad relevant generalist commercial law experience, preferably in both a law firm and corporate setting, with proven experience in all areas of commercial law and transactions, including reviewing, drafting and negotiating a wide variety of complex agreements, such as purchase, sales, nondisclosure, distributor, and service and supply agreements. Experience in the food industry strongly preferred.
Prior success in independently and timely managing a large variety of legal matters on behalf of a client.
Proven ability to evaluate, draft, review and negotiate merger and acquisition agreements, and drive transactions to closing.
Ability to cost-effectively and efficiently manage litigation and other pre-litigation disputes.
Strong business acumen and the ability to understand Stratas’ business, to quickly focus in on the aspects of a transaction or litigation that matter the most to the businesses, and be proactive in addressing potential issues.
Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style.
Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial and to take unpopular positions when necessary while maintaining trust and credibility.
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Proven success in managing, organizing and/or completing multiple tasks and priorities. Ability to thrive in a fast-paced and changing environment.
Creativity, flexibility and resourcefulness, with a bias toward well-informed action.
License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Tennessee.
