Located at AJG’s new corporate headquarters in Rolling Meadows, Illinois, and reporting to AJG’s Vice President, General Counsel and Secretary, the Global Chief Compliance Officer will be responsible for providing strategic leadership on ethics and compliance issues, driving compliance initiatives and projects to completion, as well as ensuring continuous implementation of AJG’s global compliance program.
The Global Chief Compliance Officer will be responsible for providing proactive, business-focused legal and compliance counsel to AJG’s global operations and will be required to:
Work collaboratively with a variety of stakeholders, including AJG’s senior management and Board of Directors, compliance resources in the business units, as well as other AJG functions (e.g., human resources, internal audit, IT, risk management) to identify and minimize compliance risks and drive implementation of compliance initiatives company-wide;
Continually develop, drive and implement processes, policies and procedures to ensure compliance with AJG’s Global Standards of Business Conduct as well as anti-corruption laws and regulations such as FCPA and OFAC;
Maintain an ongoing monitoring program to measure the effectiveness of AJG's compliance program and to identify successes and as well as areas for further improvement.
Prepare reports on compliance initiatives and present to AJG’s senior management and Board of Directors as required;
Working closely with global business leaders and business unit compliance resources, be responsible for due diligence, education and monitoring of AJG’s suppliers, strategic vendors and business partners and agents to ensure their understanding of, and compliance with, AJG’s Global Standards of Business Conduct and applicable laws and regulations.
Working closely with other stakeholders such as internal audit, and/or AJG’s General Counsel, lead and/or assist in the investigation and evaluation of allegations of noncompliance. Develop and ensure implementation of corrective action plans.
Stay current and serve as a subject matter expert on legal and compliance developments, industry activities and emerging trends relating to AJG’s global business, including anti-corruption laws and requirements.
A JD from a leading law school, with proven academic success.
At least ten years relevant experience representing a global company in compliance matters, preferably in the financial services industry. Prior experience practicing commercial law in both a law firm and a corporation is a plus.
Proven success serving as a change agent in developing and continuously implementing a compliance program with a global company, including prior experience auditing and monitoring compliance processes and controls.
Strong project management capability, with a bias for well-informed action.
Demonstrated leadership talent, with the ability to motivate and interface with employees at all levels by virtue of keen business acumen, excellent judgment, professional competence, emotional intelligence, credibility, flexibility and personal integrity. Proven capability leading and influencing cross-functional teams.
Exceptional interpersonal skills, with an ability to inspire trust and confidence with internal and external stakeholders with different cultural backgrounds.
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Ability to issue spot and provide incisive, practical and business-focused compliance advice and counsel. Creativity and resourcefulness. Strong problem solving skills with a pragmatic orientation.
Demonstrated experience in cost-effectively and proactively engaging and managing outside counsel and other service providers on a global basis.
An ability and desire to travel internationally occasionally to support global compliance.
License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois.
