In-house opportunity located in New York City for an Investment Funds Attorney to work with a retirement fund as an investor in private equity, hedge funds, real estate funds, debt funds and separate accounts. This is a temporary, part-time position for three days a week (flexible as to days) beginning in September and expected to last at least three months. Hourly rate is $50- $60 (no overtime).
Review, provides comments for, structure and negotiate limited partnership, limited liability company, side letter agreements and investment management agreements and/or separate accounts
Review private placement memoranda/prospectuses and other related documents
Ensure that Fund investment professionals understand fully the terms of their investments and how these terms could be revised for the Fund’s benefit (including, for example, valuation, lock-up periods, gates, redemption fees, incentive fees, profit allocations, UBTI, hurdles, management fees, conflicts of interest and related terms)
Review and complete investor documents to effectuate investments, including Subscription Agreements and Purchaser Questionnaires
General understanding of ERISA’s plan asset regulations and familiarity with ERISA provisions typically included in private equity, private real estate and hedge fund agreements is preferable but not required.
