Privately held biotechnology company in Manhattan seeks a strategic, smart and collaborative General Counsel to provide a broad spectrum of counsel to their company. Reporting to the COO, this person will oversee all legal matters and serve as the primary legal advisor to the company and its senior management team.
Develop thorough knowledge and understanding of the company’s business and customers to support the formulation of appropriate advice, structures and strategies, and the ability to convert legal compliance into competitive advantage.
Take an active role as the legal lead for the launch and commercialization of one or more company products.
Structure, negotiate, and draft inbound and outbound patent license agreements, collaborative research agreements, M&A agreements and leading cross-functional teams.
Act as a key lawyer/legal advisor on all major business transactions, including financings of various types, acquisitions, divestitures, licensing and technology transfer and collaborations and joint ventures.
Serve as corporate secretary, including managing the Company’s minute books and Company documents.
Be adept at managing outside counsel.
Draft and negotiate commercial contracts typical of biopharmaceutical businesses such as MTA’s, service agreements, licensing agreements, manufacturing and distribution agreements.
Manage litigation and disputes, as well as insurance and risk management functions.
Oversee patent, copyright, trademark, trade secret and other intellectual property matters.
Coordinate stock option and equity programs.
Oversee ethics and compliance matters.
Experience and Knowledge Required:
JD with a strong academic record.
At least 12-14+ years law experience is required.
Biotech/pharma experience is required.
Additional experience at a nationally recognized law firm is preferred.
Previous experience working with boards of directors, including preparing for and attending board meetings and providing strategic advice.
Prior experience contributing to business development activities such as in-licensing, out-licensing and mergers and acquisitions.
Significant knowledge of and experience advising clients on laws and regulations governing the pharmaceutical industry, including but not limited to FDA regulations, False Claims Act, Anti-Kickback Statute, OIG guidance, the Sunshine Act, the PhRMA Code, HIPAA, and product liability laws.
Sound business judgment and strategic thinking. Flexibility and an interest in working on a broad variety of legal matters in order to understand and advise the Company on legal implications of its business strategy.
Energetic, hard-working, able to work independently while managing numerous projects simultaneously under deadline pressure.
Excellent communication and interpersonal skills; highly team-oriented and collaborative.
