Position Summary: Assist General Counsel to ensure CLA operates in compliance with federal, state and local laws and regulations. Assist Secretary in corporate governance functions. Manage outside counsel representing CLA in litigation. Assist General Counsel in working with CLA departments and committees on issues of concern to industry members, including preparing comments on proposed government action and petitioning the government to take policy actions that CLA and its members support.
Essential Duties and Responsibilities:

Review and update Corporate Documents (Bylaws, Conditions of Membership, and Position Papers) as necessary.
Prepare, review and update contracts, agreements, MOUs, etc.
Prepare resolutions for the Association at the direction of the General Counsel.
Provide legal advice to the CropLife Foundation, particularly regarding antitrust and standard-setting.
Monitor IP, Trademark Rights and Document Retention Policy.
Prepare minutes for CLA Board of Director meetings.
Regulatory and Litigation Responsibilities
Manage outside counsel on litigation matters, under supervision of General Counsel.
Participate in setting agendas for law committee meetings, participate in law committee meetings and present at the meetings as appropriate.
Advise CLA’s Legislative, Regulatory and Communication departments and committees on proposed and existing laws and regulations and litigation activities.
Assist General Counsel in supervision of department staff and assign tasks as needed and appropriate.
Supervise work of interns.
Job Knowledge, Skills and Abilities:

Ability to read and understand complex legal documents, regulations, and trial documents, and as necessary to interpret these to others as they apply to various situations.

Ability to write briefs, legal opinions, resolutions, and correspondence.
Strong oral and written communications skills.
Understanding of corporate governance, especially in an association or not-for-profit setting.
Strong organizational skills, time management skills and the ability to multi-task are essential.
Education, Work Experience and/or Licensure
Law degree from an ABA accredited law school.
5+ years of professional experience, preferably litigation, regulatory and/or antitrust (law firm, non-profit, or government).
Must be a member in good standing of the District of Columbia Bar or a member in good standing of another U.S. State Bar and be eligible to waive into the District of Columbia Bar.
Must have strong command of the English language.
