In-House Position
We seek a corporate counsel to lead our legal department, support our expanding international financial software and broker-dealer operations, and advise our executive team on all legal matters that impact the company’s business. The exact title for the position will depend upon the candidate’s experience and abilities. The position will:

- manage and oversee legal business matters worldwide, including general corporate matters, corporate organization, securities compliance, drafting and negotiating transactional documents, licensing agreements, intellectual property, litigation, strategic initiatives, employment law matters, contract management, privacy, international issues, etc.;

- advise and assist the company's CEO, CFO, Board of Directors and all levels of management in making and implementing strategic decisions and objectives;

- provide business-oriented advice to company executives and officers;

- partner with internal teams to drive and meet business objectives, preparing supporting documentation as required.

In addition to having the flexibility to work on a broad variety of legal matters, you must be adept at managing and completing multiple projects simultaneously under deadline pressure.

Detailed responsibilities include:

- Manage Tora’s regulatory filings, licenses and applications with the SEC, FINRA, Hong Kong Securities and Futures Commission, and other regulatory bodies and exchanges as appropriate.

- Research and advise executive management on relevant compliance issues worldwide; support the compliance function at Tora group broker-dealers in US and Hong Kong, and supervise Tora group Chief Compliance Officer.

- Identify and address legal and compliance implications of Company’s rollout of new business lines, products and services and entry into new international markets.

- Draft, review and negotiate contractual documents with brokers, clients, vendors, partners and other third parties as needed to support Tora’s business objectives.

- Maintain all Tora corporate entities in good standing within applicable jurisdictions; implement “best practices” corporate governance in all group entities and ensure corporate formalities are observed, minute books accurately maintained, etc.

- Develop and implement intellectual property strategy; maintain, protect and expand Tora’s intellectual property assets, including patents, trademarks, and trade secrets.

- Provide legal advice in other areas of Tora’s business, including hiring, labor relations, immigration, HR policies, terminations, leases, strategic initiatives, litigation, privacy, international issues, etc.

- Manage, train and evaluate in-house legal staff; manage legal department within budget while delivering high quality, timely work and results.

- Strategically select, maintain and manage cost-effectively outside resources, including outside legal counsel.

- Support business development activities, including technology development and licensing, liquidity services and investment and acquisition opportunities.

- Develop and deliver company-wide training where appropriate (trade secret protection policies; insider trading; FCPA; securities law compliance; etc.)

- Other duties as assigned.

Requirements
Requirements:

- BA and JD degrees with excellent academic credentials from a top university and law school.

- Minimum of 5 years, preferably 7-10 years, of corporate transactional, intellectual property, M&A and/or securities experience with a nationally recognized law firm or a mix of service with a nationally recognized law firm plus in-house experience.

- Excellent writing and editing skills.

- Extensive experience in drafting and negotiating complex legal agreements, and the ability to work on a wide range of legal matters.

- Excellent analytical skills, with demonstrated ability to interpret legal advice and effectively apply it to business needs.

- Outstanding interpersonal skills – entrepreneurial personality, a commitment to professionalism, integrity and collegiality.

- Sound business judgment and strategic thinking, takes initiative to address problems proactively.

- Flexibility and willingness to work on a broad variety of legal matters.

- Hard-working, organized, and able to manage numerous projects simultaneously under deadline pressure.

- Experience working in varied international legal frameworks, particularly in Asian countries including Singapore, Hong Kong and/or Japan, is highly desirable.

- Experience with FINRA or Hong Kong SFC broker-dealer compliance, as well as structuring or working with hedge funds, also highly desirable but not required.

- Fluency in Japanese or Chinese is also highly desirable but not required.

- Overseas travel to company’s Asia offices is required.

- Flexibility to work Asia market hours, particularly during first several months of employment while learning the Company’s business, is required.
