In-House Position
Dow Corning Corporation seeks an attorney with significant experience in all aspects of commercial law to work at the Senior Attorney Level.

This position reports to the Associate General Counsel, Commercial Law. As part of the Commercial Legal team for a well-respected multinational company, the Commercial Senior Attorney will work closely with the corporate leadership and business unit leaders locally and globally. Ideally, candidate will have experience working within both a respected law firm and a corporate Law Department. A minimum of 5 years experience is required.

The Commercial Senior Attorney provides strategic legal support to Dow Corning corporate management, business unit leaders and the Law Department. This hands-on position involves challenging substantive legal work, including drafting and negotiating complex agreements, conducting legal research and analysis, and actively providing legal counsel and transactional support to the global commercial organization.

Responsibilities will include:

Delivering high quality legal services, opinions, and documents to business teams taking into consideration impact, constraints, and alternatives.

Understanding corporate and business unit strategies and objectives.

Staying abreast of legal and business developments to anticipate legal risks and propose solutions to mitigate those risks.

Providing legal advice based upon sound legal principles, founded in established jurisprudence, with a balance between analytical assessments and practical needs of business.

Drafting, negotiating and counseling on complex international transactions.

Leading and participating in local and global legal and commercial teams and projects.

Reviewing and drafting company policies and procedures to support legal compliance and legal risk management.

Managing outside counsel.

Requirements
Minimum of 5 years of commercial law practice experience preferably for a manufacturing company. Extensive experience reviewing, drafting and negotiating contracts Superior writing and communication skills Strong interpersonal skills to work effectively with internal and external attorneys and management Excellent analytical skills are needed to assess risk involvement, extent of legal liability, financial impact and long term effects to departmental and other corporate objectives, including protection of corporate reputation Strong ethics Demonstrated leadership capabilities and a team-oriented work style are essential Excellent management skills and human relations skills are needed in managing work flow and interrelating with all levels of management at the corporation. Antitrust knowledge Experience in domestic and international trade regulations a plus Ability to travel domestically and internationally is required.

Education:

Law Degree (JD) from an ABA accredited US law school MBA or technical undergraduate degree (ChE, Biology, Chemistry) desirable Admitted to bar or eligible for bar in Michigan
