Position Summary
This position reports to Vertafore’s Senior Vice President, General Counsel, and is located at Vertafore’s headquarters in Bothell, WA within the greater Seattle area. The Senior Counsel will be a key member of a small legal team supporting a rapidly growing, complex software and information solutions business. The Senior Counsel will have broad, general experience working with all aspects of a rapidly growing technology business. The successful individual will be capable of managing a large number of projects simultaneously working both independently and as a key member of teams handling matters in a wide variety of areas, including customer and internal contracting, litigation management, regulatory compliance and process improvement.
Position Profile
The successful individual’s primary responsibilities will include: (1) Providing broad-based advice and counsel to executives and line managers with respect to the legal and regulatory elements of critical business activities. (2) Negotiating, reviewing and drafting customer and vendor contracts of varying types relating to the Company’s business ranging from ordinary course sales contracts to complex master agreements. (3) Driving greater internal efficiencies for both business and legal constituents through the development or redesign of legal support processes, licensing programs, template licensing documents, and contract management technologies. Continuous focus on developing consistent, repeatable and scalable processes to facilitate growth of the business. (4) Resolving pre-litigation disputes. Managing litigation and alternative dispute resolution processes as necessary. (5) Working with the Human Resources group and other business teams on employee and employment related matters. (6) Working on complex transactions, including joint ventures, strategic partnerships, mergers and acquisitions, and corporate financing transactions. (7) Assisting with review and analysis of applicable laws, regulations and industry practices on data privacy, security and other areas, and then working with business leaders to develop concise, understandable and repeatable processes for compliance. Working with business leaders to develop and provide training in these important areas. (8) Assisting with other general corporate and business matters as required.

Requirements |

|
At least seven years of legal experience is required. Prior in-house experience is required, and experience in a major law firm is strongly preferred. Public company experience in a mid-sized company is desirable. Experience with technology companies providing software to the financial services sector or a regulated industry, such as healthcare, would also be helpful. The ideal candidate will have experience in a $100 – $1,000 million business-to-business software or professional services enterprise. Solid technical skills, with broad-based experience in the areas of commercial contract law, litigation management, mergers and acquisitions, employment and general corporate matters. Strong educational background, including a J.D. from a well regarded accredited law school. Washington State bar membership is required.
